                  Statement in response to share price movement
 


The Board of Directors of Flomerics Group PLC notes the sharp move in the share
price earlier today.

The Board is therefore obliged to inform shareholders that it has recently
received an  approach for the Company, which it is currently considering.  The
Board would like to stress that discussions are at a very early stage and there
is no certainty that they will lead to a formal offer being made for the
Company.

A further announcement will be made in due course. In the meantime shareholders
are advised to take no action.
