In accordance with the transitional provisions of the Disclosure and Transparency Rules, Flomerics Group PLC ("Flomerics") confirms that its issued share capital as at 5 July 2007 comprised 21,630,061 ordinary shares of 1p each.

All of the ordinary shares have equal voting rights and none of the ordinary shares are held in treasury. The total number of voting rights in Flomerics as at 5 July 2007 is therefore 21,630,061.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Flomerics under the Disclosure and Transparency Rules.
