Terms and Conditions

IF YOU USE THE FloTHERM.PCB FACILITY, YOU SHALL BE DEEMED TO HAVE ACCEPTED THESE TERMS AND CONDITIONS (SEE PARAGRAPH 2 BELOW). ACCORDINGLY, IF YOU DO NOT WISH TO ACCEPT THESE TERMS AND CONDITIONS THEN YOU SHOULD NOT USE THE FloTHERM.PCB FACILITY.

1. In these Terms and Conditions the following definitions apply.

"You" means any person who accesses the FloTHERM.PCB Facility by using your account (whether or not you have authorized that person to use the FloTHERM.PCB Facility) and "your" shall be construed accordingly.

"The FloTHERM.PCB Facility" means the WWW facility set up by Mentor Graphics through the Internet in relation to Mentor Graphics' FloTHERM.PCB software and includes all data, information, software and other material which is (or which at any time becomes) available through this facility.

"Mentor Graphics" means Mentor Graphics and its directors, employees and agents from time to time.

2. You agree that these Terms and Conditions comprise the complete (and sole) legal relationship between you and Mentor Graphics in relationship to the FloTHERM.PCB Facility.

Your use of the FloTHERM.PCB Facility is subject to your accepting these Terms and Conditions. You may accept these Terms and Conditions by notifying us in writing. However, you shall also be deemed to have accepted these Terms and Conditions if you access the FloTHERM.PCB Facility (and indeed, each time you access the FloTHERM.PCB Facility you shall be deemed to confirm your acceptance of these Terms and Conditions).

Your further accept that Mentor Graphics may modify these Terms and Conditions simply by notifying you of the modification(s) (either in writing or through the FloTHERM.PCB Facility).

3. You accept that Mentor Graphics may suspend or cease the FloTHERM.PCB Facility, modify any aspect of the FloTHERM.PCB Facility or withdraw all or any part of the FloTHERM.PCB Facility from you without prior notice, without having to give a reason and without incurring any liability to you.

4. You shall not copy or duplicate any software or associated documentation downloaded from the FloTHERM.PCB Support Area without the Supplier's prior written consent except that You may make one security copy of the Program only.

5. It is your responsibility to keep your account details secret and secure. You are responsible for the use or misuse of the FloTHERM.PCB Facility by any person accessing the FloTHERM.PCB Facility through the use of your account and for all charges arising in respect of the use of your account (whether that use is authorized or unauthorized).

6. You understand that any data, information, software or other material which you send us through the FloTHERM.PCB Facility may be redistributed, retransmitted, published, or otherwise transferred or commercially exploited by us and by any person who accesses or receives such data, information, software or other material through the FloTHERM.PCB Facility.

Accordingly, if you wish us not to use any data, information, software or other material in any way, then please notify us accordingly prior to sending us the data, information, software or other material. However, unless and to the extent that we agree in writing to any restriction on our use of any such data, information, software or other material prior to us first receiving or accessing such data, information, software or other material, then our use of that data, information, software or other material shall not be restricted in any way.

7. You undertake that you will not enter any data, information, software or other material which is scandalous or defamatory or which may cause loss or damage to any person, firm, company or other organization. Accordingly, you agree to indemnify Mentor Graphics for any liability arising in respect of any such material.

8. YOU AGREE THAT YOUR USE OF THE FloTHERM.PCB FACILITY IS AT YOUR SOLE RISK. Mentor Graphics DOES NOT MAKE ANY REPRESENTATION OR WARRANTY IN RESPECT OF THE FloTHERM.PCB FACILITY OR IN RESPECT OF DATA, INFORMATION, SOFTWARE OR OTHER MATERIAL WHICH YOU ACCESS OR RECEIVE THROUGH THE FloTHERM.PCB FACILITY. IN PARTICULAR, YOU ACKNOWLEDGE THAT Mentor Graphics SHALL NOT HAVE CHECKED OR TESTED ANY DATA, INFORMATION, SOFTWARE OR OTHER MATERIAL WHICH YOU ACCESS OR RECEIVE THROUGH THE FloTHERM.PCB FACILITY WHETHER FOR ACCURACY, VIRUSES OR OTHERWISE. ACCORDINGLY IF YOU USE ANY SUCH DATA, INFORMATION, SOFTWARE OR OTHER MATERIAL YOU DO SO AT YOUR OWN RISK AND SHOULD TAKE APPROPRIATE PRECAUTIONS.

YOU FURTHER AGREE THAT Mentor Graphics SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC AND GENERAL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE FloTHERM.PCB FACILITY OR IN RESPECT OF ANY DATA, INFORMATION, SOFTWARE OR OTHER MATERIAL WHICH YOU ACCESS OR RECEIVE THROUGH THE FloTHERM.PCB FACILITY. FOR THE AVOIDANCE OF ANY DOUBT, THIS EXCLUSION OF LIABILITY EXTENDS TO LOSS OR DAMAGE OF ANY KIND CAUSED TO OR RESULTING FROM DAMAGE TO ELECTRICAL OR MECHANICAL EQUIPMENT (INCLUDING ANY DATA, INFORMATION, SOFTWARE OR OTHER MATERIAL STORED ON SUCH EQUIPMENT).

9. These Terms and Conditions shall be governed by and construed in accordance with English law.
